About the role Human Interest is looking to add a talented and motivated corporate attorney to join its growing legal and compliance team.
In this role, you will have the opportunity to make a significant impact at a leading fintech startup.
Reporting to the Assistant General Counsel, this role will be a key partner for all corporate affairs.
You will collaborate with business teams across the organization and support the organization's day-to-day operational needs and strategic priorities, with a focus on contracting, corporate governance matters, and strategic transactions, as well as supporting the Board of Directors and Committees.

What you get to do every day Corporate - 50% Advise on matters including governance, securities, financing (debt and equity), compensation programs, financial audits, M&A, joint ventures, subsidiary maintenance, and general corporate matters Be responsible for corporate recordkeeping, corporate calendar, and Board and Committee meeting preparation, including Board and Committee resolutions and minutes Assist with entity management, including ongoing compliance and intercompany transactions of corporate entities, and ensure that Human Interest's corporate entities remain in good standing in each jurisdiction they are qualified to do business in Assist with secondary support for strategic transactions such as mergers and acquisitions, financings, and joint ventures Manage reporting and compliance activities with respect to lenders and investors Monitor and analyze regulatory developments and best practices in corporate governance and drive related compliance activities and education within the company, including developing and implementing corporate policies Commercial Transactions - 40% Draft, negotiate, and counsel on a broad range of inbound and outbound transactions (e.
g.
sales, partnership, and vendor contracts), including partnering with the Revenue team and other stakeholders Oversee the contract lifecycle, ensuring that contracts are moving from initiation to execution efficiently and assisting business partners with monitoring contract compliance, renewals, and terminations Navigate privacy laws and security issues in a commercial contract negotiation context Interface with business units across the organization (Revenue, InfoSec, Compliance, Marketing, Product, and People) and provide practical and effective strategic business and legal advice Recommend, develop, and implement training to address compliance, commercial, and other needs Develop and maintain tools, playbooks, and other creative solutions to enable business self-service for contracting needs and drive efficiencies Develop, monitor, and continuously improve metrics relating to Human Interest's contracting work Develop, implement, and continuously improve Human Interest's contracts, templates, and other agreements to ensure maximum protection while balancing business needs Other - 10% Advise and assist on a broad range of legal projects and matters as needed, including those relating to tax and intellectual property Review marketing collateral and advise the business regarding claim substantiation, consumer disclosures, and related issues Review and advise on legal issues involving Human Interest's regulatory compliance Partner with Legal, Finance, and People team members to establish processes and identify risks and opportunities in legal strategy What you bring to the role JD from a top tier law school and member in good standing of a state bar A minimum of three years of corporate and transactional experience at a top tier national or international law firm and/or an in-house legal department Experience supporting or working at a public company is strongly preferred Familiarity with cap table management, equity compensation plans, executive compensation, and public company reporting Very diligent with excellent judgment and strong communication, time management, and organizational skills Analytical mindset and impeccable attention to detail Demonstrated ability to perform and thrive in a rapidly changing, fast paced environment Flexibility and creativity, with the initiative to work through multiple solutions to issues and proactively and reliably drive projects forward Able to excel both independently and in a team environment Passion for a data-driven approach to building efficient processes and operations Roll-up your sleeves, low-ego approach to collaborating across the organization and willingness to learn and share knowledge Committed to providing excellent customer service to internal business clients and our Legal team colleagues, responding quickly to urgent matters and executing proactively Why you will love working at Human Interest Mission - Highly collaborative startup dedicated to supporting employee engagement and growth.

We take into account the cost of labor for each position in various markets across the US.
The base salary for this position spans $170,000 - $185,000 and represents the minimum in our lowest geographic region to a maximum in our highest geographic region.
The salary that we offer to a new employee within this range is based on their location within the US, their relevant job-related skills, and experience.
At Human Interest, base salary is one component of the overall Total Rewards package.
Depending on the position, additional compensation components such as bonus, commission, and equity may be offered.
