Responsibilities
In this role as a Legal Counsel, you will work closely with Darktrace's Americas-based in-house counsel and other members of the legal team.
Your responsibilities will include:
Commercial Contracts: Assisting in preparing and facilitating the completion of commercial contracts with the company's growing customer base.
Negotiating and drafting software license agreements, purchase order terms, and other bespoke commercial terms with and for end users; resale and distribution agreements with partners; data processing and business associate agreements; marketing agreements; and other commercial agreements to support Darktrace's strategic growth.
Advising on legal risk and strategy.
Operations Support: Working with teams across the company including Sales Operations, Sales, Finance, Human Resources, and Facilities to ensure ongoing support of company operations.
Legal Research: Conducting legal research as needed.
Project Management: Driving progress on legal team projects and assisting wherever needed.
Actively working on improving processes with the goal of positively impacting the legal team and Darktrace more broadly as we continue to grow and scale.
Strategic Initiatives.
Supporting the legal team on a variety of projects, involving various other areas of law, including but not limited to product, intellectual property, privacy, regulatory, litigation / disputes and related fields.
Global Cross-Functionality: Working in a multi-jurisdictional team for a multi-national company and supporting teams across various offices and time zones.
Required Experience
A member in good standing with the State Bar of California or Washington with 3 – 6 years of practice experience, including in-house in a high-volume commercial SaaS or platform contracting practice.
Familiarity with data privacy laws and regulations, in particular the GDPR and the CCPA.
Commercial negotiation experience and comfort leading commercial negotiations with opposing counsel in email, by a call, or otherwise engaging with opposing counsel directly to achieve a successful deal closure.
Experience in one or more of regulatory law, litigation / dispute resolution, employment law or real estate.
Required Competencies

For US based candidates, the annual pay range (excluding bonus) for this position is $160,000 - $200,000.
The actual offer will be based on the role, location, and individual experience.
